MINUTES OF THE INFORMAL MEETING OF CERTAIN MEMBERS OF THE ENGLISH AND FRENCH COMMITTEE HELD AT 110, CANNON STREET ON TUESDAY, MAY 22, 1906.

In attendance: M. Casenave, formerly Chargé d'Affaires French Legation in Peking, and M. E. de Biedermann.

Mr. Carl Meyer read a communication from Mr. Keswick, the Chairman of the Company, expressing his regret that owing to an important Committee meeting at the House of Commons he would be unable to be present.

The following subjects were submitted by the French Directors for consideration:

Representation of Company in China (Nomination, Salary, and Instructions).

M. Caillaux introduced M. Casenave, whom he said had been appointed Manager of the Banque de l'Indo-Chine in Peking, and on behalf of the Paris Committee proposed that he should also be appointed one of the representatives of the Chinese Central Railways in China.

Mr. Carl Meyer said he cordially accepted (on behalf of his English colleagues) the name of M. Casenave as one of the representatives of the Company, and expressed his opinion that no better choice could have been made by the members of the French Committee, and on behalf of the London Committee he proposed the name of Mr. Bland, formerly correspondent to the "Times," and now agent of the British and Chinese Corporation (Limited) in China, to be appointed the other representative, which was cordially accepted by the French Directors.

After due consideration it was agreed.

1. That both Mr. Bland and M. Casenave should conjointly act as agents of the Company in China with the same rights and powers, and that a salary of 1,000£. per annum be paid to each of them.

2. That all instructions to the representatives should be identical, and given by the Board alike to both Mr. Bland and M. Casenave as joint representatives.

3. That all communications from the joint representatives should be addressed to both the English and French Committees simultaneously.

4. That in respect of all negotiations with the Wai-wu Pu such should be conducted jointly by both Mr. Bland and M. Casenave; and that all official communications and documents intended to be addressed to the Chinese Imperial authorities and to the Legations in Peking should be signed by both representatives, all steps to be taken conjointly.
